This License Agreement (“Agreement”) is entered into between you (“Licensor”) and Merit Leadership, Inc., a Utah Corporation (“Licensee”).
Recitals
Licensor owns and retains all rights to the ethical dilemma (“Dilemma”), which is defined herein as any text submitted through this form by Licensor.
Licensee desires to use the Dilemma in various written and oral works.
Terms and Conditions
For these reasons, Licensor and Licensee hereby agree as follows:
Grant of License: Licensor hereby grants to Licensee, and Licensee hereby accepts, a royalty-free, non-exclusive, assignable, irrevocable, perpetual, worldwide right to use, reproduce, transmit, or display the Dilemma for use in various works (“Work”).
Work Defined: The Work for which Licensor grants license to the dilemma shall include: articles, books, websites, class handouts, and any other writings; public performances (digital or otherwise); audio or motion-picture recordings; and any derivative works created by or for Licensees based on the Work.
Indemnifications: Licensee agrees to fully indemnify, defend, and hold harmless Licensor from and against any claims, losses, damages, expenses, and liability in connection with Licensee’s use of the Dilemma, except for any claims based solely upon ownership rights in and to the Dilemma. Licensor represents that he is the sole owner of any intellectual property rights (including, but not limited to, copyright, trade secret, trademark) deriving from the Work. Licensor agrees to fully indemnify, defend, and hold harmless Licensee from and against any claims, losses, damages, expenses and liability, including claims of copyright infringement, arising from Licensee’s authorized use of the Work.
Ownership: Licensee acknowledges that Licensor is the sole and exclusive owner of the Work and of any associated federal registrations and pending registrations, and Licensee shall do nothing inconsistent with such ownership. Licensee further agrees that it will not claim ownership rights to the Dilemma. Licensee agrees that nothing in this Agreement shall give Licensee any right, title, or interest in the Work other than the right to use the same in accordance with this Agreement. Licensor agrees that it owns no ownership rights in the Work described herein.
Confidentiality: Licensor agrees that no personally identifiable information provided in the Dilemma shall be considered confidential and that the entire text of the Dilemma may be disclosed by Licensee to other parties. Licensee affirms that they have written the Dilemma in such a way that it only contains information appropriate for disclosure and agrees to hold Licensee harmless for disclosing any part of the Dilemma.
Miscellaneous:
This Agreement constitutes the entire agreement and understanding of the parties.
This Agreement shall be governed by the laws of the state of Utah.
If any provision of this Agreement shall be held invalid, the remainder of this Agreement, shall not be affected thereby.
