Because it’s essen9al that we protect our copyright in these materials, we’ve established the following terms of use. Please be a?en9ve to these requirements and thoughAul in how you use our materials, so that your use of them doesn’t diminish or destroy their value to us and others.

Terms of Use

These terms of use (“Terms of Use”) govern your use of all copyrighted materials (“Materials”) belonging to or licensed by Merit Leadership, Inc. (“Merit Leadership”) The Materials include— without limitaOon—all Merit Leadership educaOonal websites, downloadable files, books, modules, presentaOons, assessments, exercises, or other such resources, and any trademarks, logos, service marks, and trade names found in the Materials. By registering to access or otherwise use these Materials, you agree to these Terms of Use. If you do not agree to these Terms of Use, you may not access or otherwise use the Materials.

1. Registered Access

You are required to register to access or otherwise use the Materials, using the registraOon process established by Merit Leadership at its websites. This registraOon may require a payment. Your registraOon may give you a right to access and use certain porOons of the Materials, but not others, as determined by Merit Leadership.

RegistraOon requires a non-transferable account that is unique to you with a username and password, and you are responsible for keeping them confidenOal. If you share your username and password, or provide access to your account to someone else, or otherwise violate these Terms of Use, your registra:on may be suspended or terminated. If your registraOon is suspended or terminated, Merit Leadership will not refund any payments you made for registraOon.

Merit Leadership, in its sole discretion, may amend these Terms of Use at any time by posting revised terms on our websites. Your continued access to or use of the Materials means you accept the amended Terms of Use.

2. Materials

The Materials provided by Merit Leadership are for informaOonal purposes only. Merit Leadership reserves the right to modify, add, or remove content, features, or funcOonality of the Materials at its sole discreOon. The Materials may contain links or references to other content that does not belong to Merit Leadership. These links or references are provided as a convenience to you. Merit Leadership is not responsible for any other content, products, or services that may be offered by other parOes. Other condiOons may apply for content linked or referred to by Merit Leadership.

3. Intellectual Property License

During the Ome you are registered to access a porOon or all of the Materials—and your registraOon has not been suspended or terminated—Merit Leadership grants you a limited, non-exclusive, and non-transferable license to access and use those Materials determined by your registraOon. You agree that you will not make any use of the Materials except as expressly permiAed by these Terms of Use, including but not limited to the copying, modificaOon, distribuOon, transmission, performance, broadcast, publicaOon, licensing, reverse engineering, transfer or sale of, or the creaOon of derivaOve works from, any part of the Materials.

In some cases, the Materials may direct you to create and share copies or derivaOve works of the Materials for the purpose of compleOng an exercise, exam, assignment, or other assessment for an educaOonal purpose. Those uses by you are permiAed by these Terms of Use. You may also keep personal copies (“Personal Copies”) of the Material, which are one printed copy and one copy of the Materials stored on your own compuOng devices. You may not create or keep Personal Copies where creaOng such copies involves circumvenOng any means used by Merit Leadership that is intended to prevent copying. You may not share Personal Copies with others.

You agree not to use the Materials for any commercial purpose, which includes selling access to the Materials, using the Materials for the purpose of receiving payments through subscripOons or adverOsements, or obtaining product informaOon for compeOOve use.

4. Instructors

If Merit Leadership determines that you are an instructor, the addiOonal provisions in this Part 4 apply. You may access or use the Materials for the purpose of evaluaOng whether or not to adopt the Materials for use with your students. You agree that you will not distribute, transmit, perform, broadcast, publish, or make derivaOve works of the Materials to allow anyone to access or use the Materials without those individuals first registering an account with copy, print, modify, Merit Leadership as described in these Terms of Use. You may provide access to the Materials through a secure, password protected plaCorm that is approved by Merit Leadership, but only if you no:fy those with such access that their use of these Materials is subject to these Terms of Use, including the need for a registered account as described herein. You may modify the Materials, but any modified Materials are considered derivaOve works subject to these Terms of Use. If you modify the Materials, you may not remove any noOces alerOng others to these Terms of Use.

5. Indemnifications

You agree to fully indemnify, defend, and hold harmless Merit Leadership from and against any claims, losses, damages, expenses, and liability in connecOon with your use of the Materials.

Merit Leadership agrees to fully indemnify, defend, and hold you harmless from and against any losses, damages, expenses, and liability from claims of copyright infringement, arising from your use of the Materials.

6. Miscellaneous

These Terms of Use consOtute the enOre agreement and understanding of the parOes. Any claim arising from the Terms of Use shall be governed by the laws of the state of Utah. If any provision of these Terms of Use shall be held invalid, the remaining provisions shall not be affected thereby.
